If you do not agree to these Terms, or if you do not agree with our Privacy Policy, which is available at https://www.aiprise.com/privacy-policy, please do not use the Site. BY ACCESSING, BROWSING, OR OTHERWISE USING THE SITE, YOU REPRESENT THAT: (I) YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS OF USE, (II) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH AiPrise Inc. (“AiPrise”) AND (III) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS PERSONALLY OR ON BEHALF OF THE ENTITY YOU REPRESENT. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITE.

Your Use of the Site

Subject to these Terms and our Privacy Policy, you are granted a limited license to use the Site to learn about AiPrise and to copy, display, and use the functionality, materials, features, and services provided by the Site solely for your personal, non-commercial use.

Account Registration

If you create an account, request a demo, or sign up for a free trial through the Site, you agree to provide accurate and complete information and to keep this information current. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify AiPrise immediately of any unauthorized use of your account.

AiPrise Services

AiPrise offers products and services separate from this Site, including its identity verification platform, APIs, and related developer tools (the “Services”). These Terms govern only your use of the Site — including any documentation, developer guides, or technical resources made available through the Site — and do not govern your use of any Services. Access to and use of the Services is governed by a separate customer agreement between you (or your organization) and AiPrise. In the event of any conflict between these Terms and a signed customer agreement, the customer agreement shall control with respect to the Services.

Intellectual Property Ownership

All text, content, documents, names, logos, trademarks, service marks, brand identities, characters, trade names, graphics, designs, copyrights, trade dress, or other intellectual property appearing in the Site, and the organization, compilation, look and feel, illustrations, artwork, videos, music, software and other works on the Site (the “Materials”) are owned by AiPrise and its affiliates or used with permission or under license from a third party (collectively referred to as the “Owner”) and are protected under copyright, trademark and other intellectual property and proprietary rights laws.

As between AiPrise and you, all right, title and interest in and to the Materials will at all times remain with AiPrise and/or the applicable Owner. The word “AiPrise”, the “AiPrise” logo, and other marks, logos and titles are registered and/or common law trade names, trademarks or service marks of AiPrise. AiPrise reserves all other rights.

Except as expressly provided in these Terms, nothing on the Site shall be construed as conferring any license under AiPrise’s and/or its Owner’s intellectual property rights, whether by estoppel, implication or otherwise. Notwithstanding anything in these Terms to the contrary, AiPrise may revoke any of the foregoing rights and/or your access to the Site, or any part thereof, including the blocking of your IP Address, at any time without prior notice.

Restrictions on Use

You may not: (a) copy, redistribute, or commercially exploit the Materials except as expressly permitted in these Terms; (b) remove or alter any proprietary notices on the Materials; (c) use AiPrise’s trademarks in metatags, keywords, or hidden text without written consent; (d) reverse engineer, decompile, or disassemble any part of the Site; (e) use automated tools (scrapers, bots, crawlers, etc.) to access or collect data from the Site; (f) interfere with, disrupt, or overburden the Site or its infrastructure; (g) use the Site for any unlawful, fraudulent, or harmful purpose; or (h) upload content that infringes third-party rights or violates applicable law.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts of law rules. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of such courts.

AiPrise provides the Linked Sites to you only as a convenience and does not endorse any Linked Site. AiPrise is not responsible for the contents or transmission of any Linked Site or any link contained in a Linked Site or for ensuring that the Linked Sites contain no errors or viruses. AiPrise is not responsible for the terms of use or privacy practices of the Linked Sites or any link contained in the Linked Sites. Your linking to any Linked Site or any other off-site page or other site is entirely at your own risk. AiPrise encourages you to carefully read the policies of each site you visit.

Feedback

If you provide AiPrise with any comments, suggestions, ideas, or other feedback through the Site (“Feedback”), you grant AiPrise a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into AiPrise’s products and services. This section does not apply to information exchanged under a separate confidentiality or non-disclosure agreement between you and AiPrise.

AiPrise’s online Privacy Policy is incorporated into these Terms by reference and describes the collection, use, and sharing of certain personally identifiable information that may be provided in connection with the use of the Site. Disclaimers

THE SITE AND THE MATERIALS AND ALL OTHER FEATURES OFFERED VIA THE SITE ARE PROVIDED TO YOU “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SHOULD APPLICABLE LAW NOT PERMIT THE FOREGOING EXCLUSION OF EXPRESS OR IMPLIED WARRANTIES, THEN AiPrise HEREBY GRANTS THE MINIMUM EXPRESS OR IMPLIED WARRANTY REQUIRED BY SUCH APPLICABLE LAW.

No advice or information, whether oral or written, obtained by you from AiPrise, its employees, agents, suppliers or any other persons shall create any warranty, representation or guarantee not expressly stated in this section. Additionally, AiPrise does not make any warranties that the Site will be uninterrupted, secure or error free or that your use of the Site will meet your expectations, or that the Site, Materials, or any portion thereof, is correct, accurate, or reliable. AiPrise reserves the right to change any part of the Site at any time without notice.

Limitation of Liability

Your use of the Site is at your own risk. Neither AiPrise, its affiliates, nor any of their respective officers, directors, agents or other representatives will be liable for any damages, direct, indirect, incidental, consequential, special, or punitive, including, without limitation, loss of data, income, profit or goodwill, loss of or damage to property and claims of third parties arising out of your access to or use of the Site or arising out of any action taken in response to or as a result of any Materials or other information available on the Site, however caused, whether based on breach of contract, tort (including negligence), proprietary rights infringement, product liability or otherwise. The foregoing shall apply even if AiPrise was advised of the possibility of such damages.

If you become dissatisfied in any way with the Site, or these Terms or the Privacy Policy, your sole and exclusive remedy is to stop your use of the Site. You hereby waive any and all claims against AiPrise and its affiliates, agents, representatives and licensors arising out of your use of the Site.

Because some jurisdictions do not allow the disclaimer of implied warranties or the exclusion or limitation of certain types of damages, these provisions may not apply to you. If any portion of this limitation on liability is found to be invalid or unenforceable for any reason, then AiPrise’s liability shall be limited to the maximum extent permitted by applicable law.

Export Compliance

You agree to comply with all applicable export control laws and regulations in connection with your use of the Site, including the U.S. Export Administration Regulations and sanctions programs administered by the U.S. Treasury Department’s Office of Foreign Assets Control. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

Assignment

These Terms, and any rights and licenses granted under these Terms, may not be transferred or assigned by you, but may be assigned by AiPrise without restriction.

Changes to these Terms

From time to time, AiPrise may revise these Terms. When changes are made, AiPrise will make a new copy of the Terms available at the Site, and will also update the “Last Updated” date above. Any changes to the Terms will be effective immediately after the revised Terms are posted on the Site. Your use of the Site following the posting of any revised Terms shall be deemed acceptance of the revised Terms. AiPrise strongly recommends checking Terms periodically. If you disagree with the provisions of these Terms at any time, your sole remedy is to terminate your use of the Site. Continued use of the Site constitutes your agreement to these Terms as in effect.

Although AiPrise is based in the United States, we have appointed representatives in the European Union and the United Kingdom in accordance with Article 27 of the GDPR and the UK GDPR, respectively.

Miscellaneous

AiPrise’s failure to enforce any provision of these Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision. If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms shall continue in effect. Any waiver or failure to enforce any provision of the Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. These Terms are the final, complete and exclusive agreement of the parties with respect to the subject matter of these Terms and supersedes and merges all prior discussions between the parties with respect to such subject matter.

Refund & Cancellation Policy

AiPrise provides its Services to business customers under individually negotiated customer agreements. All fees, billing terms, cancellation rights, and refund eligibility are governed solely by the applicable customer agreement between AiPrise and the customer. AiPrise does not offer self-service refunds or cancellations. Because AiPrise provides software services and does not sell physical goods, no return policy applies.
